These Terms and Conditions of Sale supplement the quotation accepted by the Client. The quotation sets out the project specifications, dates, deliverables, price, deadlines and any special terms. If there is any conflict, the special terms in the quotation take precedence.
Scope and service provider
These Terms and Conditions of Sale govern audiovisual services ordered from Laurent Henry, hereinafter the “Service Provider”, by a professional or consumer client, hereinafter the “Client”.
The services may include preparation, filming, multi-camera recording, sound recording, lighting, drone filming, editing, colour grading, sound mixing, subtitling and delivery of corporate films, interviews, video podcasts, branded content, reports, sport, event or tourism films and social media content.

Quotation and order
The quotation is valid for fifteen days from its date of issue, subject to the availability of the Service Provider and any collaborators required for the project.
The order becomes final once the quotation has been accepted in writing or signed, these Terms and Conditions have been accepted, and a deposit equal to 50% of the total amount has been paid. These steps constitute a binding commitment by both parties, subject to any right of withdrawal available to consumers.
Any change to the scope, schedule, locations, number of filming days, deliverables or technical requirements may require an amendment or a new quotation.
Fees and expenses
The price is set out in a quotation based on the project requirements, including preparation time, personnel and equipment, the length of the shoot, post-production work, the number of deliverables and the agreed usage rights.
Travel, tolls, parking, transport, meals and, where necessary, accommodation expenses are stated in the quotation. No travel is deemed to be included unless expressly stated.
Services are invoiced in euros. Invoicing in another currency may be expressly agreed in the quotation for a project carried out outside France.
Payment
Unless otherwise stated in the quotation, a 50% deposit is due when the order is placed. The remaining 50% is invoiced on delivery and must be paid no later than thirty days from the invoice date. The quotation or invoice may specify a shorter payment period.
Payment is made by bank transfer or by another method accepted in writing by the Service Provider. No discount is granted for early payment.
For professional Clients, any late payment will, from the day after the due date and without prior notice, incur penalties calculated at three times the French statutory interest rate. A fixed recovery charge of €40 is also payable for each late invoice. Where the recovery costs actually incurred are higher, additional compensation may be claimed on production of supporting documents.
In the event of late payment, the Service Provider may suspend the services or withhold any files still due for delivery until payment has been made, without being held liable for doing so.
Consumer right of withdrawal
Where a contract is entered into remotely or off-premises with a consumer, the consumer generally has fourteen days from the date the contract is concluded to exercise the right of withdrawal, without having to give a reason.
If the consumer expressly asks for the service to begin before the end of that period and subsequently withdraws, the consumer remains liable for the services performed up to the date the decision is communicated. Where the service has been fully performed before the end of the withdrawal period, following the consumer’s express request and acknowledgement that the right of withdrawal will be lost, that right may no longer be exercised.
The form at the end of these Terms and Conditions may be sent by email or post. This section does not apply to a Client contracting exclusively for professional purposes, subject to any specific statutory provisions from which that Client may benefit.
Cancellation and postponement
After any applicable withdrawal period has expired, the Client must give written notice of cancellation. The 50% deposit remains payable to the Service Provider as compensation for reserving the schedule and for work already undertaken, unless mandatory law, a recognised event of force majeure or a more favourable written agreement provides otherwise.
Any postponement requested by the Client is subject to the availability of the Service Provider and the planned collaborators. A change of date, location or scope may result in additional fees, an amendment or a new quotation. If no new date can be agreed, the request will be treated as a cancellation.
Client obligations
The Client provides, within the agreed timeframes, all information, content, access, approvals, authorisations and contact details required to carry out the project. The Client confirms that it holds the necessary rights to all materials supplied to the Service Provider, including text, images, logos, music, trademarks and internal documents.
The Client informs the relevant venues, contributors, employees, participants or partners that a film crew will be present and obtains any access, filming and distribution permissions for which the Client is responsible. The Service Provider may provide model release forms but does not replace the Client in completing this process.
Any delay, failure to respond or change attributable to the Client may affect the schedule and delivery date. Where a change results in additional work, reserved time or expenses, these may be invoiced after the Client has been informed.
Performance and subcontracting
The Service Provider is free to organise the resources required to perform the assignment properly and in accordance with the quotation. Under the Service Provider’s responsibility, camera operators, sound recordists, drone pilots, lighting technicians, editors or other qualified professionals may be engaged.
The Client facilitates access to the locations and ensures that safety conditions allow the crew to work and install the equipment. The Service Provider may stop or refuse any operation that is dangerous, unlawful or contrary to the rules of the location.
Production and creative decisions
By ordering the service, the Client confirms that it has reviewed the Service Provider’s portfolio and approach. Unless specific instructions have been approved in the quotation, the Service Provider retains control over choices relating to framing, lighting, narrative structure, pacing, editing, colour grading, sound mixing and graphics.
The final result also depends on the actual project conditions, including lighting, weather, sound environment, access, contributor availability, venue restrictions and the way the event or shoot unfolds. These constraints do not in themselves constitute non-compliance with the agreed service.
Deliverables and revisions
The type, number, indicative duration, format and delivery timeframe of the content are defined in the quotation.
Unless the quotation states otherwise, one consolidated round of feedback is included. The Client has fifteen days from the first delivery to submit revision requests. After this period, the delivered version is deemed approved, without prejudice to any applicable statutory guarantees.
Included revisions are limited adjustments that remain within the approved scope. A new edit, a change of structure, creative direction or music, as well as successive or unconsolidated requests, will be invoiced at €62.50 per hour after the Client has been informed.
Delivery, storage and raw footage
The production and delivery timeframe is stated in each quotation. It begins once the Service Provider has received all required materials, access and approvals. Any new request or late approval may require the timeframe to be revised.
Delivery is made by download link or by the method stated in the quotation. The Client must download and back up the files within the stated access period.
The Service Provider may retain an archive of the final film subject to available technical capacity, but this does not constitute a guaranteed backup service. Raw footage is kept for a maximum of six months after delivery and may then be deleted without notice.
The Client may request all available raw footage during this period for a fee of €100. The files are supplied in their original technical state, unedited and without colour grading. The Service Provider is not required to deliver unusable or duplicate files, or files subject to third-party restrictions.
Intellectual property and usage rights
The Service Provider remains the owner of the copyright in the work created, subject to any rights held by third parties. Once the price has been paid in full, the Client may use and distribute the deliverables on its own channels for the purposes set out in the quotation. Any other use, transfer to a third party, resale, substantial modification or exploitation not covered by the quotation may require a separate agreement.
Working files, editing projects, intermediate compositions, settings, methods, unused material and raw footage are not included in the deliverables unless expressly stated in the quotation or requested under the raw-footage terms above.
Licences for music, fonts, images, archive material or other third-party content remain subject to the terms of their respective rights holders. The Client may not extract them from the film or reuse them separately.
Unless a confidentiality clause applies, or the Client has made a written objection accepted by the Service Provider, Laurent Henry may present the project and excerpts from the deliverables on his website, in his portfolio, on social media, in showreels, presentation materials, festivals or competitions, and on other professional channels.
Confidentiality
Each party agrees not to disclose information identified as confidential and received in connection with the project. Any embargo date, security procedure or specific restriction must be communicated before the service begins and may be set out in the quotation or a separate agreement.
Drone filming
Aerial filming is carried out only when weather, safety, location, regulations and airspace permissions allow. The Service Provider has sole discretion in determining whether it is technically and legally possible to fly the drone.
If aerial shots cannot be completed for any of these reasons, this does not automatically entitle the Client to a price reduction where the remainder of the service can still be performed. If drone filming is the main purpose of the order, the parties will seek an appropriate solution, such as postponement or an amendment to the quotation.
Technical incidents and force majeure
The Service Provider uses professional equipment and implements reasonable backup measures. If a technical incident affects part of the images or sound, the Service Provider will inform the Client and seek a solution that preserves or adapts the deliverables.
In the event of a total and irreversible loss that makes it impossible to produce the essential deliverables, amounts corresponding to the part of the service that cannot be performed will be refunded. This provision does not exclude any liability that cannot lawfully be limited.
Neither party is liable for delay or non-performance resulting from an event of force majeure under French law. The affected party will inform the other party as soon as possible so that an appropriate solution can be sought.
Complaints, governing law and disputes
Any complaint must first be sent in writing to hello@laurenthenry.com. The parties agree to seek an amicable solution in good faith before starting legal proceedings.
These Terms and Conditions are governed by French law. For any dispute between professionals that cannot be resolved amicably, the courts with jurisdiction over Thonon-les-Bains shall have express jurisdiction, including where there are multiple defendants or third-party proceedings.
For consumers, the statutory rules on territorial jurisdiction and mandatory consumer protections remain applicable. Consumers resident in another country retain the benefit of the mandatory provisions that apply to them.
